Article 2(5) lists an agent whose position is not independent among 16 forms of a taxable presence

The market sells a management mandate as somebody else's compliance problem. The only management standard in the tourism licensing annex checks 14 things, and the owner's authority to let the house is not one of them.

The number

Not confirmed: no document we opened moves a Bali owner's tax or licence onto the operator he hires. Article 2(5) letter n lists an agent whose position is not independent among 16 forms of a non-resident's taxable presence. PP 34/2017's own worked example keeps rent a manager collects the owner's income.

Somewhere in the closing of almost every Bali villa purchase there is a second signature. After the lease or the share transfer comes the management agreement: the operator markets the house, takes the bookings, pays the staff, remits what is left. Attached to it is the claim this piece checks — that the letting now runs on the operator’s licence and against the operator’s tax number. Four instruments decide it, and none of them, in the copies the state publishes, moves the owner anywhere. One works an example of the arrangement and reaches the opposite conclusion.

Who does the rent belong to when the operator collects it?

The regulation that taxes rent has no word for an operator. Article 1 point 2 of PP 34/2017 defines the Penyewa as the party who rents the building “dari pemilik atau pihak yang menyewakan”, from the owner or from the party letting it; kuasa, agen and perantara occur no times each.Source: 4JDIH Kementerian Keuangan, Last reviewed Confidence: Verified Article 3 puts the withholding on that tenant where the tenant is a withholding agent, and where he is not, makes the tax payable by the recipient.Source: 4JDIH Kementerian Keuangan, Last reviewed Confidence: Verified The duty runs between two parties, and the manager is neither.

Then the regulation’s own elucidation works the case. PT X owns an office building and engages PT Y to run its security, cleaning and maintenance for Rp800.000.000,00 a year; PT Y also collects the rent and service charge, one tenant paying Rp200.000.000,00 and Rp15.000.000,00. Because that tenant rents space PT X owns and the services are PT X’s obligation as owner, the elucidation holds all of it to be PT X’s income, withheld on by the tenant at 10% x (Rp200.000.000,00 + Rp15.000.000,00) = Rp21.500.000,00. PT Y’s own work is jasa manajemen, taxed as such in its hands.Source: 4JDIH Kementerian Keuangan, Last reviewed Confidence: Verified

Two streams and two taxpayers: the agent does not become the landlord by holding the cash. Which rate reaches a foreign owner is separate — we published the Article 26 side today — as is Badung’s tax on what a guest pays.

Can hiring an operator create a taxable presence of the owner’s own?

This is the sharp end, and it points the other way from the pitch. Article 2(5), re-enacted by Article 111 item 1 of Law 6 of 2023, says a non-resident’s permanent establishment “dapat berupa” — may take the form of — 16 listed things, most of them places. Letter n is “agen yang kedudukannya tidak bebas”: an agent whose position is not independent.Source: 1JDIH Kementerian Keuangan, Last reviewed Confidence: Verified Article 2(1a) makes such an establishment a tax subject treated like a corporate taxpayer.Source: 1JDIH Kementerian Keuangan, Last reviewed Confidence: Verified So a taxable presence can arise through a person rather than premises, and the person named is an agent not independent of the non-resident.

Now the limit. The list is permissive, and the phrase occurs exactly once in the 54,436-line text layer of the published law and is nowhere defined in it.Source: 1JDIH Kementerian Keuangan, Last reviewed Confidence: Verified Whether a given operator is such an agent is a question of fact about one contract. Nothing here says any owner has a permanent establishment — only that the arrangement is on the list, and no market document we have seen mentions it.

These are the current words, checked rather than assumed. Law 7 of 2021 amended the income tax law in 11 numbered items and touched neither Article 2 nor Article 23 nor Article 26; its “Pasal 2 ayat (5) dihapus” belongs to the general-procedures statute.Source: 2Direktorat Jenderal Pajak, Last reviewed Estimate Residence is a neighbouring test: how Indonesia counts the days that make an owner a tax resident.

The fee runs the other way, and not symmetrically. Article 23(1) taxes jasa manajemen at 2% of the gross, but only where the payer is a “subjek pajak badan dalam negeri”, a resident corporate tax subject — which an individual foreign owner is not.Source: 3Direktorat Jenderal Pajak, Last reviewed Confidence: Verified

What does the state check before it licenses a hotel-management business?

Not what the pitch turns on. The annex to Permenparekraf 4/2021 carries exactly one standard for management services, KBLI 55900, defining the business as the operation, financial administration, human resources and marketing “dari suatu hotel”. Its general-requirements row is a single dash; the certificate is a self-declaration made at registration.Source: 5Kementerian Pariwisata dan Ekonomi Kreatif, JDIH, Last reviewed Confidence: Verified The table by which conformity is assessed carries 14 numbered criteria across six elements: one specific requirement, three on premises, two on organisation and staff, two on service, four on the product and two on the management system.Source: 5Kementerian Pariwisata dan Ekonomi Kreatif, JDIH, Last reviewed Confidence: Verified

Source Betterplace Journal count of item 11 of STANDAR USAHA JASA MANAJEMEN HOTEL, KBLI 55900, in the annex to Permenparekraf 4/2021, read 14.10.2026 in the archived copy of the ministry's own salinan. Plotted figures are claim c11; the zero row is claim c12. Re-read when the tourism licensing standards are amended. Nothing else moves these counts. Note The six bars are the standard's own assessment elements and its own criterion numbering. The seventh row is ours and not the document's: a category we searched the whole standard for and did not find, where the words pemilik, kuasa and rekening each occur no times. A chart of what one instrument checks is not a chart of what the law requires, and no other instrument was opened for this figure.

Across the 501 lines of that standard, pemilik — owner — occurs no times, kuasa no times and rekening no times, against 47 occurrences of the control word hotel. Perjanjian appears once, in a “Manual Hotel Management Agreement” whose content is not prescribed.Source: 5Kementerian Pariwisata dan Ekonomi Kreatif, JDIH, Last reviewed Confidence: Verified The state asks for a meeting room, a signboard, separate toilets and documented procedures. It does not ask for proof that anyone authorised the letting.

The fit is loose the other way too: our piece on Article 1559 and the pondok wisata licence already read the vila standard in this annex as a house its owner manages himself. The category that would fit, rumah wisata, appears twice in the instrument, both in the tourism-area standard’s list of dwelling types, with no standard of its own; 55203 occurs no times, against one each of 55900 and 55193.Source: 5Kementerian Pariwisata dan Ekonomi Kreatif, JDIH, Last reviewed Confidence: Verified So no instrument we opened names what is actually sold here: a business licensed to let, for an owner, houses it neither owns nor occupies. Our search budget was spent before discovery, which makes that an absence in what we read rather than a proven absence.Unverified

Whose name is the booking in?

The chapter governing the mandate is missing from the market’s paperwork, and from this publication until now. Article 1792 of the Civil Code defines pemberian kuasa as conferring power on another who accepts it, to act “atas nama” — in the name of — the grantor; Article 1793 allows that by deed, writing, letter or orally, acceptance inferred from performance.Source: 6Kejaksaan Negeri Sukoharjo, Last reviewed Estimate An owner who signed no power of attorney may still have granted one, and acting in his name reaches past the fee. Article 1807 binds the principal to engagements the agent made within that power, Article 1799 lets him sue the person the agent dealt with, and Article 1802 makes the agent account for everything received, “even what is not payable to the principal”.Source: 6Kejaksaan Negeri Sukoharjo, Last reviewed Estimate

The chapter is not one-sided, and half of it would mislead. Article 1814 lets the principal revoke whenever he wishes; Article 1815 then holds that a revocation told only to the agent cannot be raised against a third party who booked in ignorance of it, and Article 1812 lets the agent retain the principal’s property until everything claimable under the mandate is paid.Source: 6Kejaksaan Negeri Sukoharjo, Last reviewed Estimate Free revocation, a retention right and guests holding confirmations are not a clean exit.

A market figure dies here. Article 1794 makes a mandate gratuitous unless agreed otherwise and, where a fee is agreed but not expressly fixed, caps it at what Article 411 allows a guardian: 3% of income, 2% of expenditure, 1.5% of capital received.Source: 6Kejaksaan Negeri Sukoharjo, Last reviewed Estimate That is a residual rule, not a ceiling: a written agreement states its fee and escapes it. No primary document we opened fixes or benchmarks a commission, and the 15% to 25% range the market quotes reached us as understanding rather than a sourced figure.Unverified It is the line the yields quoted in villa marketing are most sensitive to.

Every mandate sentence here is an estimate for one reason: no officially promulgated Indonesian text of the Civil Code exists. The authentic instrument is Dutch, and our copy sits on a prosecutor’s server.

The case against this reading

Three arguments cut at us, and the first could make the piece wrong.

Treaty relief, unread. No instrument, circular, form or decision we opened says when a person engaged to market a house becomes an agent whose position is not independent, and we read no double-taxation convention and no Article 32A text.Unverified Conventions of this kind commonly exclude an independent agent and may displace the domestic result, which puts a reader holding one beyond this piece.

The worked example is an office tower. Its facts are a corporate tenant on an annual lease, not a guest on a weekend. Article 2(3) takes lodging services and their accommodation out of that regulation’s tax altogether, its elucidation naming rooms, dormitories and boarding houses.Source: 4JDIH Kementerian Keuangan, Last reviewed Confidence: Verified What survives is the reasoning about whose income it is, not the rate.

The mandate chapter may be the wrong one. Article 1792 is written for an agent acting in the principal’s name. An operator contracting with guests in his own name falls outside it, and what governs him instead — the commercial code’s provisions on commission agents among them — we did not read. That is the fork the subject turns on, and we name it rather than resolve it. Nor did we read the classification behind the accommodation codes: one annex asking for no proof of authority does not show that nothing does.

Three questions survive all three. Ask in whose name the guest contract is made, and for a specimen. Ask which article the operator withholds under, and for the slip. Ask what becomes of bookings already confirmed on the day the mandate ends.
